This Consignment Agreement (“Agreement”) is between you (the seller / consignor) and 938 Holdings LLC d/b/a Sarault & Co. (“we,” “us,” “our,” “Sarault & Co.”) for one saddle on https://sarault.co (the “Store”).

Buyer-facing rules live in our Terms of Service, Return and Trial Policy, and Shipping Policy on https://sarault.co. Those policies control the buyer’s purchase and trial. This Agreement controls your consignment with us.

1. Parties and the saddle
This Agreement covers one saddle identified in your submission and our acceptance materials (make, model, serial or other ID, and agreed value for insurance).
We hold that saddle as consignee to inspect, photograph, list, insure while in our care, ship to a buyer, and handle the buyer’s trial and any return. You remain the owner until title passes to a buyer under §10.
We do not purchase the saddle outright. Consignment only. You remain the owner until title passes per the sale and trial-close rules in this Agreement.
2. Your representations
You represent and warrant that:
- You are the sole owner of the saddle.
- The saddle is free of liens, finance claims, and security interests.
- You have full authority to consign and sell it.
- The description and history you give us are accurate to your knowledge (including repairs, tree issues, and serial/nameplate facts).
If any of that is not true, tell us before you ship. We may refuse the consignment, keep the paid cert fee for work already done if we have already inspected, and return the saddle.
3. What we do
For each accepted saddle we:
- Run our published 27-point inspection (English or Western checklist as applicable).
- Set the grade (Like New / Excellent / Very Good / Good) from that inspection — not from your self-grade.
- Photograph the saddle and prepare the listing.
- List it on the Store as Verified under this Agreement (see §9 for listing while we hold it and after any return-to-seller).
- Hold and insure it while it is in our care.
- Ship it to the buyer when sold, on the terms in our Shipping Policy (or arrange ship after re-confirm / re-inspect if the saddle is seller-held under §9).
- Handle the buyer’s trial and any return under our Return and Trial Policy.
“Verified” means Jeff Sarault inspected that saddle in hand against the published checklist and listed it with that record. Only Jeff performs saddle verification / certification for listing as Verified. Bots, automated systems, and third-party AI must not inspect, grade, certify, or mark a saddle Verified. Staff may assist logistics and photos under Jeff’s direction; the verification decision is Jeff’s alone.
We do not list a saddle we have not physically inspected. After a return-to-seller under §9, Verified means as of the inspection date — see §9.
4. Verification fee and intake
Intake sequence
- You submit an application and photographs — free to submit. This is not fee-before-apply.
- You receive an automated email with a verification fee payment link and shipping instructions. This is not fee-only-after-manual-accept.
- You complete the 1-page e-sign of this Agreement (§13) and pay the verification fee.
- You ship the saddle (§5).
- Jeff verifies (bots must not).
- If verified, we list.
Fee
The verification fee (the “paid cert fee”) is $250. It covers certification, listing, and photos.
For a limited time we offer it at an introductory price of $175. We may end the introductory price at any time for new consignments. The price you pay is the price on your payment link when you sign; we will not charge more later for the same saddle.
Once paid, the fee is non-refundable. It is not refunded if the saddle does not sell.
If inspection finds the saddle cannot be verified (for example: bad tree, mismatched serial, undisclosed major repair, or other failure against our process), we retain the fee, return the saddle at our cost, and do not list it.
5. Shipping the saddle to us
After you accept this Agreement (§13) and pay the verification fee, ship the saddle to us within three business days, insured for the agreed value, at your cost, to the address we give you. Use a trackable carrier. We will confirm receipt.
Do not ship until both e-sign and payment are done.
Risk of loss in transit to us is yours (your insurance / carrier claim). Once we confirm receipt, risk while in our care is covered under §11.
6. Pricing
We recommend an asking price after review (and again after inspection if findings change the recommendation).
You set the asking price within the range we agree. We will not list until the price is agreed.
Price changes after listing only with your agreement. If inspection findings change our recommendation, we re-agree the price before listing.
7. Exclusivity
While the saddle is listed with us under this Agreement — including while we hold it and while it remains listed after a return-to-seller under §9 — you will not offer the same saddle for sale elsewhere or sell it privately. If a private buyer appears, tell us first so we can withdraw cleanly.
Exclusivity continues for as long as the listing continues under §9 (until the saddle is withdrawn or sold through Sarault & Co.). If you want the listing ended, use withdrawal under §8.
8. Withdrawal
You may withdraw at any time. Tell us through the contact form. We will stop the listing and, if we still hold the saddle, return it. Return shipping is at your cost, insured as we arrange.
If the saddle is already back with you under §9 (seller-held listing), withdrawal ends the listing; there is no further return ship from us.
The paid cert fee is not refunded on withdrawal.
9. Term (90 days) and after
The initial listing term is up to ninety (90) days from the listing date, unless we agree in writing to extend.
Unsold at end of term — physical return + may remain listed
If the saddle is unsold at the end of the term (and no written extension is in place):
- We return it to you at SCO / Sarault & Co. cost, insured.
- The saddle may remain listed on the Store as a Verified available saddle after that return.
Rules while listed after return-to-seller
While the listing continues after we have returned the saddle to you:
- Exclusivity continues for as long as the listing is live (§7). You may not sell it elsewhere or privately while it remains listed with us.
- If the saddle later sells through Sarault & Co., our 25% commission still applies (same payout rules as §10).
- The listing will show that the saddle is seller-held and that it ships after confirmation (not from our shelf).
- “Verified” means as of the inspection date. After return, you hold the saddle; condition can change. Before we ship to a buyer (or arrange the next ship), you must re-confirm condition, and we may require a re-inspect as needed.
- How long this lasts (plain English): The listing — and your exclusivity and the 25% if it sells through Sarault & Co. — continues while exclusivity continues under this Agreement, until you withdraw (§8), we agree to end the listing, or the saddle is sold through Sarault & Co. There is no separate auto-end date after the 90-day return unless we set one in writing.
10. Sale, buyer trial, title, and payout
When a buyer purchases the saddle:
- The buyer pays in full at checkout. Under our Terms of Service, that is a completed sale with a contractual right of return (not a bailment). Title and risk as between us and the buyer pass on delivery to the buyer, subject to the buyer’s return right. See Terms of Service and Return and Trial Policy on https://sarault.co.
- The buyer has a seven-day trial from the carrier’s delivery scan, or fourteen days if the buyer bought the Extended 14-Day Trial ($175, non-refundable, one saddle).
- While the buyer is on trial, the listing may show Sale pending.
If the buyer returns the saddle on time and it passes re-inspection, we may re-inspect and relist it for the remainder of your active consignment term at no charge (this is while we still hold it — different from §9 return-to-seller). Exclusivity and the 25% commission continue while we hold and list it.
When the buyer’s trial closes without a qualifying return (or after a failed return that the buyer does not cure under the Return policy):
- Title passes from you to the buyer at close of trial for purposes of this consignment payout.
- We pay you the sale price minus 25% commission within five business days by ACH, check, or Zelle (your choice among the methods we offer).
- The paid cert fee is separate and already earned; it is not deducted again from payout.
The same 25% commission and payout timing apply if the sale happens while the saddle is seller-held under §9 and sells through Sarault & Co.
Commission applies to all sales through Sarault & Co. — active hold, buyer-return relist, and post–90-day seller-held remain-listed.
10A. Partner finder’s fee (pointer)
If a qualifying partner referred the buyer or the saddle sold through a partner referral, Sarault & Co. may owe a $175 finder’s fee under a separate Partner Finder’s Fee Agreement.
That fee is paid from SCO margin only — it is not deducted from your seller payout (your 75% after commission is not hit again by the finder fee). Timing: paid only after the buyer’s 7-day or 14-day return window closes without a qualifying return (sale sticks).
Trigger: per qualifying referred sale, not per saddle lifetime.
11. Risk and insurance while in our care
While the saddle is in our possession, we insure it.
If it is lost or damaged in our care so that it cannot be sold as listed, you receive the agreed value less the paid cert fee already paid.
Risk on the inbound ship to us is yours (§5). Risk on a return ship to you after withdrawal is yours (your cost). Risk on our end-of-term return to you under §9 is covered by the insurance we place for that return. After you have the saddle back under §9, risk while it is in your possession is yours until we again take possession for a ship or re-inspect.
12. Photographs and listing content
We own or control the Store photographs, inspection record, grade, and listing copy we create. Nameplates are blurred before publication as our practice requires. You grant us a license to use your submitted photos and saddle details to evaluate and (if listed) market that saddle on the Store.
You will not reuse our Verified inspection record or Store photos as your own marketing without our written permission.
13. Acceptance — 1-page e-sign + verification fee
Fee payment alone is not enough to form this Agreement (title, liens, authority, exclusivity, commission, and risk terms need clear assent). A checkbox alone is not the acceptance method for consignors.
Cross-ref — buyers: Buyers accept the Store Terms and Return and Trial Policy by a required checkout checkbox. That buyer mechanic does not apply to you as consignor.
You accept this Agreement by completing this intake sequence:
- Free submit (application + photos),
- Automated email with verification fee payment link + shipping instructions,
- Completing a one-page e-sign of this Agreement for this saddle, and
- Paying the verification fee for this saddle,
- Then ship; Jeff verifies; then list if verified.
Order for assent: e-sign then or with fee payment. Fee payment alone, or checkbox-only without e-sign, does not form the Agreement.
Do not ship the saddle until you have both e-signed and paid.
14. Governing law and venue
This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-law rules. Exclusive venue for disputes arising from this Agreement is the state or federal courts located in Florida (including courts sitting in Walton County, Florida). Florida courts are the primary dispute-resolution forum. Arbitration is not the primary dispute-resolution method under this Agreement.
15. Changes; contact
We may update the form of this Agreement for future consignments. The version you agree to for a given saddle controls that saddle. Questions: contact form only on https://sarault.co.
